Terms of Service

1. Acceptance of Terms
By accessing or using the services provided by Embedded AI Partners LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Description of Services
Embedded AI Partners LLC provides AI advisory and implementation services, including but not limited to AI strategy consulting, system implementation, process automation, and ongoing AI partnership services for businesses.
3. Client Responsibilities
Clients agree to provide accurate information, timely access to necessary systems and personnel, and to cooperate in good faith during the engagement. Clients are responsible for the accuracy and legality of any data or content they provide to us.
4. Intellectual Property
Unless otherwise specified in a separate written agreement, all custom AI systems, automations, and workflows built for clients during an engagement become the property of the client upon full payment. Pre-existing intellectual property, frameworks, and methodologies remain the property of Embedded AI Partners LLC.
5. Payment Terms
Payment terms will be specified in individual service agreements. Unless otherwise agreed, invoices are due within 30 days of receipt. Late payments may be subject to interest charges as permitted by applicable law.
6. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the engagement. This obligation survives the termination of any service agreement.
7. Limitation of Liability
To the maximum extent permitted by law, Embedded AI Partners LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.
8. Disclaimer of Warranties
Our services are provided "as is" without warranty of any kind. We do not guarantee specific business outcomes, revenue increases, or cost savings. Results vary based on individual business circumstances, implementation, and market conditions.
9. Termination
Either party may terminate a service engagement with 30 days written notice unless otherwise specified in the service agreement. Upon termination, client shall pay for all services rendered through the termination date.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Maine, without regard to its conflict of law provisions.
11. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after any changes constitutes acceptance of the new Terms.
